The directory & finding care

Klerion publishes a directory of assisted living and residential care homes, including listings sourced from public state licensing records and information supplied by operators. Listings are provided for informational purposes to help families research and contact homes. Klerion is not a healthcare provider, referral agency, or placement service, and does not recommend or endorse any particular home. You are responsible for independently verifying a home's license, availability, pricing, and suitability before making decisions.

Accounts

Some features require an account. You agree to provide accurate information, keep your credentials secure, and accept responsibility for activity under your account. You must be at least 18 years old to create an account.

Operator responsibilities

• Ensure listing information — including license status, capacity, availability, and pricing — is accurate and kept up to date.
• Hold and maintain all licenses, permits, and insurance required to operate your care home.
• Use the compliance platform as a tool that supports, but does not replace, your own regulatory judgment and legal obligations.
• Obtain any resident or representative consents required by law before entering data.
• Comply with all applicable federal, state, and local laws, including licensing and health-privacy rules.

Compliance tools — no guarantee

The compliance and operations features (including Klera AI guidance, readiness scores, reminders, forms, and reports) are provided to help you organize your operations. They are not legal advice and do not guarantee that you will pass any inspection or satisfy any regulatory requirement. You remain solely responsible for your compliance. Always verify against current regulations and consult qualified professionals where appropriate.

Referrals & disclosures

Where Klerion facilitates a referral between a family and a care home, any applicable fee relationships will be disclosed as required by law (including Arizona A.R.S. § 36-446.14). Referral fee arrangements are subject to separate disclosure terms presented at the time of the referral.

Fees, billing & cancellation

• Paid plans (including directory listing tiers and per-bed compliance memberships) are billed at the rates shown at purchase, in advance, on a recurring basis until cancelled.
• Payments are processed by Stripe; you authorize us to charge your payment method for applicable fees and taxes.
• You may cancel at any time; cancellation stops future renewals. Unless required by law, fees already paid are non-refundable and access continues through the end of the current billing period.
• We may change pricing with advance notice; changes take effect at your next renewal.

Acceptable use

You agree not to misuse the Services. In particular, you will not:

• Post false, misleading, or unlawful listing or profile information.
• Use any automated means (bots, crawlers, scrapers, or harvesting scripts) to access, index, or collect data from the Services, except public search engines operating under our robots.txt.
• Copy, reproduce, republish, resell, sublicense, redistribute, or otherwise commercially exploit the directory, listings, ratings, leads, or any other data or content from the Services, in whole or in part.
• Use the Services, or data obtained from them, to build, train, populate, or operate a competing directory, database, lead-generation service, or machine-learning model.
• Engage in arbitrage or resale of directory listings, referrals, leads, placement services, or platform access — including reselling, brokering, or monetizing access or data obtained through the Services to third parties.
• Attempt to access accounts or data that are not yours, probe or test the vulnerability of the Services, or disrupt, overload, or interfere with the Services or their infrastructure.
• Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services except to the extent this restriction is prohibited by law.
• Upload, submit, or transmit content that infringes any third party's intellectual property, privacy, or other rights, or that violates any law.
• Remove, obscure, or alter any proprietary notices, or misrepresent your affiliation with any person or entity.

We may investigate suspected violations and may suspend or terminate access, remove content, and pursue any remedies available at law or equity. The directory and its compilation are protected as our proprietary database; unauthorized extraction or reuse of a substantial part is prohibited.

Intellectual property

The Services, including the software, design, directory compilation, and content we provide, are owned by Klerion or our licensors and protected by copyright, trademark, database, and other applicable laws. Except for the limited right to use the Services under these Terms, no rights are granted to you. "Klerion," "Klera," and "Assisted Living Hub" and related logos are our marks and may not be used without our prior written permission.

Your content, uploads & warranties

You retain ownership of the content, documents, photos, and other materials you submit or upload ("User Content"). You grant Klerion a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Content solely as needed to operate and provide the Services (including generating forms, reports, and AI outputs at your direction). By submitting User Content, you represent and warrant that:

• You own the User Content or have all rights, licenses, and permissions necessary to submit it and to grant the license above.
• The User Content does not infringe or misappropriate any copyright, trademark, trade secret, privacy, publicity, or other right of any third party.
• You have obtained all resident, representative, employee, or other consents and authorizations required by law before uploading any personal, health, or third-party information.
• The User Content does not contain unlawful, defamatory, or malicious material.

You are solely responsible for your User Content. Do not upload material you are not authorized to share. Klerion may, but is not obligated to, review, and may remove or disable access to, any User Content that we believe violates these Terms or the law.

Copyright complaints & DMCA takedown

Klerion respects intellectual property rights and expects users to do the same. We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act ("DMCA"). If you believe content on the Services infringes a copyright you own or control, send a written notice to our designated agent at support@klerionhealth.com that includes:

• Your physical or electronic signature.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing and its location on the Services (e.g., the listing or page URL) so we can locate it.
• Your name, address, telephone number, and email address.
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

Upon receiving a valid notice, we will remove or disable access to the material and take reasonable steps to notify the affected user, who may submit a counter-notification as permitted by the DMCA. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. Knowingly submitting a materially false notice or counter-notice may expose you to liability.

AI features & generated output

Certain features use artificial intelligence (including "Klera" guidance, document extraction, form drafting, and summaries). AI output is generated automatically from the information available to it and may be inaccurate, incomplete, out of date, or otherwise unsuitable for your situation. AI output:

• Is provided for convenience only and is not legal, medical, clinical, financial, or professional advice.
• Must be reviewed and verified by a qualified human before you rely on or act on it — you remain responsible for all decisions and submissions.
• May be processed by third-party model providers to generate a response; do not submit information you are not permitted to share with such processors.
• Is not guaranteed to be accurate, and Klerion disclaims liability for reliance on AI output to the fullest extent permitted by law.

You will not use the AI features to generate unlawful, infringing, or harmful content, or to attempt to extract another party's confidential data or the underlying models.

Third-party services & links

The Services rely on and may link to third-party services (for example, Stripe for payments, DocuSign for e-signatures, AI model providers, and state licensing websites). Your use of those services may be subject to their own terms and privacy policies. Klerion does not control and is not responsible for third-party services or the content, accuracy, or practices of any linked site, and inclusion of a link is not an endorsement.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that directory information is complete or accurate.

Limitation of liability

To the fullest extent permitted by law, Klerion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

Indemnification

You agree to indemnify, defend, and hold Klerion and its officers, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your uploads, any claim that your content infringes or misappropriates a third party's intellectual property or other rights, your use of the Services (including reliance on AI output), or your violation of these Terms or applicable law.

Governing law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Arizona.

Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance.
